A.A. Thornton & Co conversion to AA Thornton IP LLP


We are delighted to share that, on 1 April 2022, A.A. Thornton & Co (“the Partnership”) converted from a partnership, under the Partnership Act 1890, to AA Thornton IP LLP (“the LLP”).

 

What this means for us

Limited liability partnerships are a favoured structure amongst professional services firms. Incorporation as a LLP simplifies our legal and contractual arrangements with our employees, suppliers and regulators, and this will be helpful to us as our business continues to grow and develop.

From the date of conversion, all employees and partners of the Partnership have transferred across to the LLP, and will continue to work as usual on all matters for which you have previously provided instructions to the Partnership.

The conversion will affect the personal liability of partners. The partners have been personally liable for claims against the Partnership, but they will not be personally liable for claims against the LLP. We have also updated our Terms of Business to reflect this change of liability, and these Terms of Business can be found here.

 

What this means for you

Although our legal entity has changed, there is no change to how we work with you. All contact information will remain the same, and we shall continue to provide the same high level of service and legal expertise we have always provided. The same partners, attorneys and solicitors are carrying out your work with the same telephone numbers and email addresses, and they all continue to work with your best interests in mind in accordance with the instructions you have given.

Your continued instructions to the LLP will be taken as confirmation that you are happy to work with the LLP.

 

Invoicing and credits

We have new banking details and these are as follows:

These details are also provided on all invoices and statements issued on behalf of the LLP.

If we held any money on your behalf on the conversion date, then that money will continue to be held on your behalf after the conversion by AA Thornton IP LLP in your client account. The conversion does not affect the terms on which any monies are held, or the timing of any transactions.

If you had outstanding invoices at the date of the conversion, they will be automatically transferred to the LLP.
